Organisation model 231/2001

Italian Legislative Decree No. 231 dated 8th June 2001, pursuant to authority delegated to the Government through art. 11 of Italian Law No. 300 dated 29th September 2000 regulates “entity liability for administrative offences arising from crime”.

According to this law, companies can be considered liable for crimes committed or attempted by directors, executives, their subordinates in the interest of or to the benefit of the company concerned (art. 5 Italian Legislative Decree 231/2001).

The administrative liability of the company is separate and independent of criminal liability of the physical person, who committed the crime.

Italian Legislative Decree 231/2001 innovates the Italian legal system, since companies can now be directly and independently subjected to pecuniary penalty or interdiction with respect to crimes ascribed to subjects functionally related to the company in compliance with art. 5 of the Decree.
However, administrative liability of the legal entity is excluded if, before committing the crime, the company has adopted and effectively implemented an organisation, management and control model that aim at preventing those crimes. These models can be based on codes of conduct (guidelines) developed by associations representing the companies and communicated to the Ministry of Justice.
In any event, administrative liability is excluded when directors, executives and/or their subordinates acted solely in their own interest or in the interest of a third party.

Besides representing an exemption from liability for some types of crime, adopting and consistently implementing an organisation, management and control Model pursuant to Italian Legislative Decree 231/2001 is an act of social responsibility by Parmareggio that generates benefits for all the stakeholders: shareholders, employees, creditors and any other subject whose interests are germane to the business of the company.

Besides establishing and divulgating ethical principles, thereby improving the company's standards of conduct, an entrepreneurial action control system improves the company's trustworthiness and reputation; more importantly, it also serves a regulatory purpose, regulating the conduct and decisions of all the subjects who are called upon daily to work for the Company in compliance with said ethical principles.

The methodology chosen to carry out the project in terms of organisation, definition of the operating methods, structuring the stages, and assigning responsibilities to the various business functions, was established to ensure the quality and authoritativeness of the results.

The Model consists of a general section, which includes:

1.     the description of the regulatory framework;
2.     the description of the organisation: elements of the Governance Model and of
        Parmareggio's general organisational tructure;
3.     the organisation, management and control Model and the method used to implement it;
4.     the Supervisory Board;
5.     the disciplinary system;
6.     the education and communication plan;
7.     adoption of the Model – update and adaptation criteria

and six special sections (which can vary due to new interventions of the legislator or following changes within the company):

1.     A: criminal offenses against the Public Administration;
2.     B: criminal offenses related to occupational safety and health;
3.     C: corporate crimes;
4.     D: computer crimes;
5.     E: offences against industry and commerce, counterfeit tools and signs of recognition;
6.     F: criminal offences relating to money laundering.

The Model is completed by two annexes:
